You agree that any termination of your access to Remind-er.com under any provision of this Terms of Use agreement may be effected without prior notice, and acknowledge and agree that Remind-er.com may immediately deactivate or delete your account and all related information and files in your account and/or bar any further access to such files or Remind-er.com. Further, you agree that Remind-er.com shall not be liable to you or any third-party for any termination of your access to Remind-er.com or for your loss of any data or information you have stored on Remind-er.com. Should you decide to cancel your account, you may do so by emailing support@remind-er.com. Any unused credits or funds in your account shall be forfeit upon cancelation.

Remind-er.com members who are on a billing plan will be subject to charges for this service and use of Remind-er.com in accordance with Remind-er.com's standard billing practices.

11. EXCLUSIONS AND LIMITATIONS

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS OF SECTIONS 9 AND 10 MAY NOT APPLY TO YOU.

12. INDEMNIFICATION

Upon a request by Remind-er.com, you agree to defend, indemnify, and hold harmless Remind-er.com, all of its affiliated companies, and their employees, contractors, officers, and directors from all liabilities, claims, and expenses, including attorney's fees, that arise from your use or misuse of Remind-er.com. Remind-er.com reserves the right, at it own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with Remind-er.com in asserting any available defenses.
